Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Invertops website located at invertops.com and related preview experiences (collectively, the “Site”). By accessing or using the Site, you agree to these Terms.
If you are using the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Site. Our Privacy Policy explains how we collect and use personal data.
Access to the Invertops platform for production use is provided under a separate master services agreement or order form (“MSA”) between Invertops and the customer. If there is a conflict between these Terms and an MSA, the MSA controls for that customer's use of the platform.
1. Access and Use
1.1. Provision of Access. Subject to these Terms, Invertops grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for your internal business evaluation and informational purposes.
1.2. Use Restrictions. You agree not to: (a) copy, modify, or create derivative works of the Site except as permitted by law; (b) reverse engineer or attempt to extract source code from any software made available through the Site, except where prohibited by law; (c) use the Site in violation of applicable law or third-party rights; (d) probe, scan, or test the vulnerability of any system without authorization; (e) use automated means to access the Site in a manner that burdens our infrastructure; or (f) misrepresent your affiliation with Invertops.
1.3. Reservation of Rights. Invertops reserves all rights not expressly granted in these Terms. The Site is licensed, not sold, and Invertops may modify, suspend, or discontinue any part of the Site at any time.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for businesses and professionals evaluating or using back-office software for trade service companies.
3. Accounts and Submissions
3.1. Contact and Demo Requests. If you submit information through the Site—including demo requests, contact forms, or careers applications—you agree that the information is accurate and that you have the right to provide it.
3.2. Feedback. If you provide suggestions or feedback about Invertops, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation to you.
4. Intellectual Property
The Site, trademarks, logos, documentation, and all related content are owned by Invertops or its licensors and are protected by intellectual property laws. You may not use Invertops branding without prior written consent.
5. Third-Party Links and Services
The Site may reference or link to third-party websites or services. Invertops is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.
6. Disclaimers
The site is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Invertops does not warrant that the site will be uninterrupted, error-free, or free of harmful components.
7. Limitation of Liability
To the maximum extent permitted by law, Invertops and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the site. Our total liability for claims arising out of or relating to the site will not exceed one hundred u.s. dollars (us$100) or the amount you paid invertops for site-related services in the twelve months before the claim, whichever is greater.
8. Indemnification
You will defend, indemnify, and hold harmless Invertops from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or violation of these Terms.
9. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising from these Terms or the Site, except where prohibited by law.
10. General Provisions
10.1. Changes. We may update these Terms by posting a revised version on the Site and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance.
10.2. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Invertops regarding the Site.
